1. Service Description

AutoIP is an AI-driven social media content generation and management platform that provides the following services:

• AI-powered automatic social media post generation
• AI short video script generation
• Brand weekly posting plan recommendations
• Multi-platform social account management and content scheduling
• Text-to-image, image-to-animation, and other visual content generation

2. Eligibility

• You must be at least 18 years old to use this service
• You must provide truthful and accurate registration information
• You must comply with all applicable laws and regulations
• Only one account may be registered per email address

3. Account Responsibility

• You are responsible for protecting your account security and password confidentiality
• You are responsible for all activities conducted through your account
• If you discover unauthorized use, please notify us immediately
• Account sharing with others is prohibited

4. Subscription Plans & Payment

4.1 Subscription Plans

• We offer a free plan and multiple paid subscription plans
• Paid plans are billed monthly
• Subscriptions auto-renew unless you cancel
• You can cancel your subscription at any time; the cancellation takes effect at the end of the current billing period

4.2 Early Bird Benefits

• Price Permanently Locked: Users who register during the early bird period will have their subscription price permanently locked, regardless of future feature additions
• Free Access to New Features: Early bird users can use newly launched platform features for free without additional charges
• Early Bird Qualification: Based on account registration time; the end date of the early bird period will be announced on the platform
• Early bird benefits do not apply to standalone credits purchases

4.3 Payment Methods

• We provide credit card payment services through ECPay
• Supports Visa, MasterCard, JCB, and other major credit cards
• Some transactions may require 3D Secure verification to ensure transaction safety
• You may choose to bind a credit card for convenient future billing

4.4 Auto-Renewal

• Before subscription expiration, the system will automatically charge your bound credit card for renewal
• If the charge fails, we will notify you via email to update your payment information
• After a certain number of consecutive charge failures, the subscription will be automatically downgraded to the free plan
• You can cancel auto-renewal at any time in your account settings

4.5 Price Adjustments

• We reserve the right to adjust subscription prices for non-early bird users
• Price adjustments will be notified to existing users 30 days in advance
• Adjusted prices take effect in the next billing cycle

5. AI Credits System

5.1 Credits Quota

• Each subscription plan provides a different monthly AI credits quota
• Credits reset monthly; unused credits do not carry over to the next month
• After exceeding the quota, you will need to upgrade your plan or purchase additional credits

5.2 Credits Purchase

• You can purchase additional AI credits packs
• Purchased credits are valid for 90 days from the purchase date
• Credits purchases are non-refundable unless otherwise required by law
• The system will prioritize using subscription quota credits; purchased credits are used only after the quota is exhausted

5.3 Credits Consumption

• Generating different types of content consumes different amounts of credits
• Detailed credits consumption rules can be found within the platform
• We reserve the right to adjust credits consumption rules with advance notice

6. Refund Policy

• Subscription Fees: Subscription fees are generally non-refundable. If you apply for a refund within 7 days of payment and have not used any AI credits, we will issue a full refund
• Credits Purchases: Credits purchases are non-refundable
• Refund Method: Eligible refunds will be returned to the original payment method
• Processing Time: After a refund request is approved, it takes approximately 5-14 business days to complete
• Promotional Offers: Subscriptions purchased with discount codes or promotional offers will only be refunded at the amount actually paid

7. Electronic Invoices

• The Platform issues electronic invoices in accordance with Taiwan tax law
• Electronic invoices will be automatically issued and sent to your registered email after payment
• You can choose to use mobile barcode or citizen digital certificate barcode carrier
• If a company tax ID invoice is needed, please fill in the company tax ID and name in your account settings before payment
• If changes to an invoice are needed, please contact customer service within 7 days of issuance

8. Usage Restrictions & Prohibited Activities

When using this service, you must not:

• Generate illegal, harmful, threatening, abusive, harassing, infringing, or inappropriate content
• Generate content involving others' portrait rights (e.g., unauthorized use of photos or images of celebrities, public figures, or any third party)
• Generate pornographic, nude, sexually suggestive, or any adult content
• Generate any inappropriate content involving children
• Generate hate speech, discriminatory content, or content inciting violence
• Generate false information, fake news, or misleading content
• Infringe on others' intellectual property rights (including copyrights, trademarks, patents, etc.)
• Send spam messages or engage in fraudulent activities
• Attempt to bypass our security measures or restrictions
• Use automated tools to excessively access the service
• Distribute malware or viruses
• Impersonate others or make false representations
• Using Voice Cloning to impersonate others (including celebrities, public figures, politicians, or ordinary people); for phone scams, voice phishing, statements in another person's name; or producing unauthorized voice impersonations

9. Content Ownership & Licensing

9.1 Your Content

• You retain ownership of content you input into the Platform
• You grant us the right to use your content to provide services
• You bear full responsibility for the content you input (including text, images, and audiovisual materials)

9.2 AI-Generated Content

• AI-generated content belongs to you, but you bear full responsibility for its use
• You are responsible for ensuring that generated content does not infringe on others' rights
• We are not responsible for the accuracy or legality of AI-generated content
• AI is a tool; the final decision on content use rests with the user

9.3 User Responsibility Statement

• Portrait Rights Infringement: If you use photos or images of others (including but not limited to celebrities, public figures, and ordinary citizens) to generate content resulting in portrait rights infringement, the Platform bears no responsibility; all legal liability is yours
• Pornographic or Inappropriate Content: If you generate or publish pornographic, obscene, nude, or any content that violates public morals, the Platform bears no responsibility; you assume all legal consequences
• Copyright Infringement: If your content infringes on others' copyrights, trademarks, or other intellectual property rights, the Platform bears no responsibility
• Defamation or Reputation Damage: If your generated content causes damage to others' reputation, the Platform bears no responsibility
• Criminal Acts: If you use this Platform to engage in any illegal criminal activity, the Platform will cooperate with judicial authorities in investigations and reserves the right to pursue your legal liability

The Platform only provides AI content generation tools and does not supervise or review how users use the generated content. Users should independently determine whether content is legal and appropriate, and bear full responsibility for their actions.

10. Third-Party Services

The Platform integrates the following third-party services:

• OpenAI (AI content generation)
• ECPay (Payment services, electronic invoices)
• Meta Platform (Facebook/Instagram/Threads)
• Google (YouTube)
• TikTok
• LINE
• X (Twitter)

By using these integration features, you agree to comply with the respective third-party terms of service.

11. Service Changes & Termination

• We reserve the right to modify or terminate services at any time
• We may suspend services for maintenance or upgrades
• Significant changes will be communicated to users in advance
• We may terminate your account for violation of these terms

12. Disclaimers

12.1 Service Disclaimer

• Services are provided "as is" without any express or implied warranties
• We do not guarantee that services will be permanently available or error-free
• We are not responsible for the quality or accuracy of AI-generated content
• You must independently evaluate whether generated content is suitable for use

12.2 Content Generation Disclaimer

The Platform expressly declares that it assumes no legal responsibility for any content generated, edited, published, or shared by users through the Platform, including but not limited to:

• Portrait & Privacy Rights Infringement: Any portrait or privacy rights infringement caused by users' unauthorized use of photos, images, or personal information of others (including celebrities, public figures, and ordinary citizens)
• Pornographic & Obscene Content: Legal liability arising from users generating or publishing any pornographic, obscene, nude, sexually suggestive, or content that violates public order and good morals
• Copyright Infringement: User content that infringes on others' copyrights, trademarks, patents, or other intellectual property rights
• Defamation & Reputation Damage: Reputation damage, defamation, or personality rights infringement caused by user content
• Misinformation: Users publishing false, misleading, or fraudulent content
• Any Illegal Acts: Users using the Platform to engage in any activities that violate the laws of the Republic of China (Taiwan) or other applicable laws

Users understand and agree: The Platform only provides AI content generation technical tools and is not responsible for the source of materials input by users, the use of generated content, or any consequences after publication. Users should independently ensure their actions comply with all applicable laws and bear full legal responsibility for their actions.

12.3 Third-Party Damage Disclaimer

If any third party suffers damage due to content generated or published by users through the Platform and makes a claim against the Platform, the user agrees to:

• Indemnify and hold the Platform harmless from any losses, damages, and expenses (including reasonable attorney fees)
• Cooperate with the Platform in the defense of any related legal proceedings
• Not make any form of claim against the Platform

13. Limitation of Liability

• To the maximum extent permitted by law, we are not liable for any indirect, special, incidental, or punitive damages
• Our total liability shall not exceed the fees you have paid in the past 12 months
• Some jurisdictions do not allow limitation of liability; in such cases, this clause may not apply

14. Privacy

We value your privacy. For information on how we collect, use, and protect your data, please refer to our Privacy Policy.

15. Terms Changes

We may update these Terms of Service from time to time. For significant changes:

• We will notify you via email or platform notification
• Changes will take effect 30 days after announcement
• Continued use of the service constitutes acceptance of the new terms

16. Applicable Law & Dispute Resolution

• These terms are governed by the laws of the Republic of China (Taiwan)
• Any disputes should first be resolved through friendly negotiation
• If negotiation fails, both parties agree to submit to the Taipei District Court of Taiwan as the court of first instance
